Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Amendment and Restatement of By-Laws

On October 26, 2021, the Board of Directors (the “Board”) of United States Steel Corporation (the “Corporation”) amended and restated the Corporation’s By-Laws (as amended and restated, the “Amended and Restated By-Laws”) to incorporate gender-neutral terms in reference to the Board leadership title.

The summary of the Amended and Restated By-Laws included in this Current Report on Form 8-K is qualified in its entirety by reference to the Corporation’s Amended and Restated By-Laws, as amended on October 26, 2021, which are attached hereto as Exhibit 3.1 and are incorporated herein by reference.
