Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

       Effective  October 31, 2008, J. Gary Cooper retired  from  the  Board  of
Directors  of  United  States Steel Corporation ("U.  S.  Steel").   Mr.  Cooper
retired  in  accordance  with U. S. Steel's By-Laws which  require  non-employee
directors to retire at the end of the month in which they reach the age of 72.
